VR/AR Associations (VRARA) Terms & Conditions
1. Acceptance of Terms
Each individual or entity with a confirmed and paid membership in the VR/AR Association ("VRARA") is referred to as a "Member." This includes the Member’s employees, officers, and directors, who also agree to abide by these Terms and Conditions of membership ("Terms and Conditions"). VRARA reserves the right to modify these Terms and Conditions at any time. VRARA will make reasonable efforts to notify Members of material changes via email or through the VRARA website at least ten (10) days before such changes take effect. Continued participation in VRARA after such notice constitutes acceptance of the modified Terms and Conditions.
2. Membership Renewal
VRARA shall send membership renewal invoices to the Member’s primary contact on record at least thirty (30) days prior to the renewal date. Invoices may be sent via email, postal mail, or through a third-party electronic service.
Membership will automatically renew under the same terms unless the Member notifies VRARA in writing of their intent to either not renew or change their membership category. Such notice must be provided no earlier than 5 days prior to the renewal date and no later than 15 days prior. Failure to provide timely notice obligates the Member to pay the full membership fee for the renewal term.
3. Termination Policy
Members may terminate membership at any time but remain responsible for all dues through the end of the current membership term and any applicable renewal period. No refunds will be issued. If dues are unpaid for ninety (90) days, VRARA may terminate membership at its sole discretion, with the Member remaining liable for any outstanding fees.
VRARA reserves the right to suspend or limit member benefits for accounts with overdue balances until payment is received.
4. Code of Conduct
All Members must uphold professional conduct in all VRARA-affiliated spaces, including meetings, events, committees, forums, and correspondence. Prohibited conduct includes, but is not limited to:
Harassment or discriminatory behavior
Defamatory or slanderous statements about individuals, organizations, or VRARA itself
Promotion of competing organizations
Unauthorized solicitation
VRARA reserves the right to revoke membership, with or without cause, for violations of this Code of Conduct.
5. Content Ownership and Copyright
VRARA owns all rights to the VRARA website and content ("VRARA Content"). Members may:
Download or print extracts for personal, non-commercial use
Share content with individuals for personal use, provided VRARA is credited and copyright notices are not removed
Without VRARA’s express written consent, Members may not:
Distribute or commercially exploit VRARA Content
Store VRARA Content on other websites or retrieval systems
Member Contributions
Any content contributed by Members (e.g., presentations, committee input, ideas) grants VRARA a non-exclusive, royalty-free, worldwide copyright license to use, reproduce, modify, distribute, and display such content, with appropriate credit to the Member where applicable.
6. Confidential Information
VRARA may provide content marked "Confidential" or "Proprietary." Members agree to maintain the confidentiality of such content and not disclose it to third parties.
Member-Shared Information
VRARA does not request, require, or wish to receive confidential or proprietary information from Members. Members who voluntarily disclose such information to VRARA, other Members, or in any VRARA-affiliated space, do so at their own risk. VRARA shall not be held liable for any unauthorized use, disclosure, or misuse of confidential information by other Members or third parties. Members are responsible for ensuring they do not share any information they deem confidential.
7. Contributions to VRARA
Contributions by Members, including ideas, committee participation, and presentations, are voluntary and non-compensated. By contributing, Members grant VRARA a non-exclusive, royalty-free, perpetual copyright license to use, modify, and distribute such contributions for VRARA’s purposes.
VRARA cannot guarantee confidentiality for content shared in committees, forums, or other collaborative environments.
8. VRARA Trademark Use & Conditions
VRARA grants Members a revocable, non-exclusive license to use VRARA’s name, logos, and marks ("Marks") for the sole purpose of identifying themselves as VRARA Members.
Members must follow all VRARA brand guidelines
Members may not sublicense or permit others to use VRARA’s Marks
VRARA may inspect Member’s use of Marks and revoke rights if misuse is found
Members must cease using Marks within 3 days of termination
Members indemnify VRARA against any claims, damages, or liabilities arising from improper or unauthorized use of VRARA’s Marks.
9. Online Payment Center Terms and Conditions
VRARA’s online payment service facilitates payment of dues, sponsorships, and services. Payments are processed through our online payment processor.
VRARA takes reasonable steps to secure payment data (e.g., encryption, PCI compliance) but cannot guarantee complete security
VRARA is not liable for data breaches, errors, or service interruptions
Use of the service is at the Member’s sole risk
10. Recurring Payment Authorization
By enrolling in recurring payments, Members authorize VRARA to charge the provided payment method on a recurring basis.
Members may update payment methods by notifying VRARA
VRARA will send payment confirmations via email
Disputes must be reported within thirty (30) days
Cancellation of Recurring Payments
Recurring payment authorizations may be canceled by written notice. However, Members remain responsible for all unpaid dues and fees. Unpaid balances must be paid within five (5) business days via check or wire. If not, VRARA reserves the right to charge the original payment method for the remaining balance.
11. Privacy Policy
Privacy Policy VRARA’s handling of personal data is governed by its Privacy Policy. VRARA’s Privacy Policy is available upon request.
12. Disclaimers; Limitation of Liability
VRARA Content, services, and website are provided "as is" without warranties. VRARA disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
VRARA is not liable for:
Interruptions, errors, or inaccuracies
Reliance on VRARA Content
Direct, indirect, incidental, consequential, or punitive damages related to VRARA membership or website use
Maximum liability for any claim is limited to the membership dues paid in the 12 months preceding the claim.
Force Majeure
VRARA shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, government actions, or technical failures.
13. Indemnification
Each Member agrees to indemnify and hold harmless VRARA, its officers, directors, employees, and affiliates from all claims, damages, or liabilities (including legal fees) arising out of or related to that Member’s own breach of these Terms, misuse of VRARA Content or Marks, or participation in activities.
14. Governing Law and Venue
These Terms and Conditions shall be governed by the laws of Saint Louis County and the City of St. Louis, Missouri, without regard to conflicts of laws principles.
All disputes shall be brought exclusively in the state or federal courts located in Saint Louis County or the City of St. Louis, Missouri.
15. Entire Agreement
These Terms and Conditions, along with the Membership Application and VRARA’s Privacy Policy, constitute the entire agreement between VRARA and Member, superseding any prior agreements. The Membership Application is hereby incorporated into these Terms and Conditions as Appendix A.
16. Severability
If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Appendix A
Statement of Intent and Membership Agreement ("Company") hereby joins the VR/AR Association, as of the date indicated on this application. By joining the VR/AR Association, Company demonstrates its commitment and support of the XR industry. Failure to adhere to the VR/AR Association Terms and Conditions (as the same may be amended from time to time) may result in Company’s removal from VR/AR Association membership.
By paying the membership dues, my organization agrees to the Membership Agreement and the Membership Terms and Conditions located at: http://www.thevrara.com/terms-conditions. Member is under no obligation to renew membership after the current year membership.
It is understood that the benefits of membership shall be available only to the member organization and its employees. Materials, content, database logins, and services provided by the VR/AR Association shall not be distributed or otherwise made available to non-member organizations or individuals without the prior consent of the VR/AR Association.
The VR/AR Association is an international organization designed to foster collaboration between innovative companies and people in the VR, AR, and XR ecosystem. Our aim is to accelerate growth, foster research and education, help develop industry standards, connect member organizations as well as promote the services of member companies.
In order to fulfill this mission, companies, institutions, and individuals may join the organization through an association membership. Membership is based on paying annual dues to the global entity in exchange for participation in a set of promotional activities and access to programs, research, content, databases, and other resources.
